Presidential Decree on Minimum Statutory Capital Amounts of Companies
With the Presidential Decree numbered 7887 and dated 24.11.2023, published in the Official Gazette dated 25.11.2023 and numbered 32380 (“Decree”), the minimum statutory capital amounts of joint stock and limited liability companies stipulated under Articles 332 and 580 of the Turkish Commercial Code respectively, have been increased. Accordingly;
- The minimum capital amount of joint stock companies will be TRY 250,000 while the previous statutory capital amount was TRY 50,000.
- The minimum capital amount of joint stock companies with registered capital will be TRY 500,000 while the previous statutory capital amount was TRY 100,000; and,
- The minimum capital amount of limited liability companies will be TRY 50,000 while the previous statutory capital amount was TRY 10,000.
The Decree will enter into force as of 01.01.2024 and according to the announcement of the Ministry of Commerce of the Republic of Turkey dated 26.11.2023, the above-mentioned increased minimum capital amounts will only be applicable to the companies that will be established as of 01.01.2024, and the existing companies are not required to increase their capital.
